1. Terms of Services
These Terms of Services (“Terms”) govern access to and use of the Services provided by MindCloud Inc (“MindCloud”, “Company”, “we”, “our”, or “us”), including our integration platform, APIs, connectors, automation tools, websites, and related Services (collectively, the “Services”). These Terms govern access to and use of the Services provided by MindCloud Inc (“MindCloud”, “Company”, “we”, “our”, or “us”), including, without limitation, our integration platform as a service (iPaaS), APIs, connectors, workflow automation tools, data transformation services, hosted infrastructure, user interfaces, documentation, websites, and any related professional or support services (collectively, the “Services”). We may update these Terms periodically. Continued use constitutes acceptance.
By accessing or using the Services, you and as applicable, the company or organization you represent in using the Services (“You”) agree to be bound by these Terms, by the Mindcloud Privacy Policy and any additional Statement of Work and/or Service Agreement executed by you and Mindcloud.
2. Eligibility
You must be at least 18 years old and capable of forming a legally binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you have legal authority to bind that organization. This Agreement and your use of the Services are void where prohibited.
3. Description of the Services
The Services enable users to design, build, deploy, manage, and monitor integrations and automated workflows across disparate systems, applications, and data sources. This includes, but is not limited to, connecting third-party platforms, orchestrating data synchronization, performing data transformation, executing event-driven or scheduled workflows, and maintaining integration infrastructure. The Services may include both low-code/no-code and programmatic capabilities, as well as managed services provided by MindCloud. We may modify or discontinue features at any time.
4. Intellectual Property
The Services and its components are owned or controlled by MindCloud and its licensors. Subject to these Terms and modified only in writing executed by MindCloud and you, we grant you a limited, non-exclusive license to use the Services according to these Terms. MindCloud retains all right, title, and interest in and to the MindCloud platform, software, integrations, methodologies, workflows, connectors, tools, documentation, and all related improvements, modifications, and derivative works as well as all MindCloud copyright, trademark and patent rights (“MindCloud Intellectual Property”). No rights are granted to You except for the limited right to access and use the Services as expressly provided under this Agreement. You may provide feedback, suggestions, or recommendations (“You Comment”) regarding the Services. However, You expressly acknowledge that by submitting such your Comments, You will not acquire any right, title or interest in or to MindCloud Intellectual Property. MindCloud may freely use and incorporate such feedback without restriction or obligation.
5. User Accounts and Obligations
a. In creation of your account and use of the Services, You must provide accurate information, maintain account security and notify us of unauthorized access. You are responsible for all activities under your account.
b. Use Rights: API and Integration Use: If you access or use the Services via APIs, connectors, or integrations, you agree to comply with all applicable documentation, technical requirements, and usage guidelines provided by MindCloud. You must adhere to all applicable rate limits and may not attempt to circumvent or bypass such limits. You agree not to design or implement integrations in a manner that degrades, disrupts, or compromises the performance, security, or stability of the Services.
You agree not to:
• violate applicable laws or regulations
• attempt to access unauthorized systems
• reverse engineer the Services
• disrupt platform performance
• exceed API limits or bypass rate controls
• distribute malicious code
Violation may result in suspension or termination and/or legal action to protect our rights and remedies.
6. User Data
You are solely responsible for the accuracy, quality, integrity, legality, and reliability of all data, content, and information provided or made available through the Services (“User Data”). “User Data” means any data transmitted through the Services. You retain ownership of your User Data. You grant the MindCloud a limited license to process User Data to:
• provide the Services
• maintain security
• comply with legal obligations
You represent and warrant that it has obtained all necessary rights, permissions, and consents required for MindCloud to process User Data in connection with providing the Services. You are also responsible for ensuring that its use of the Services and User Data complies with all applicable laws and regulations.
7. Third-Party Systems and Services
The Services may interoperate with or rely upon third-party systems, platforms, APIs, or Services that are not owned or controlled by MindCloud. MindCloud shall not be responsible for the availability, performance, accuracy, security, or reliability of such third-party systems. You acknowledge and agree that integrations depend on third-party systems that may change functionality, impose rate limits, restrict access, or discontinue their services without notice. MindCloud shall not be liable for any service disruption, data loss, or integration issues caused by such third-party systems.
You acknowledge that third-party APIs and systems used in connection with the Services may change, restrict access, impose limitations, or discontinue functionality at any time without notice. If such changes materially affect an integration or automation provided through the Services, any required updates, modifications, or reconfigurations may require a change order, additional development work, or additional fees. MindCloud shall not be responsible for maintaining integrations affected by such third-party changes unless otherwise agreed in writing.
8. Fees
Fees for the Services are as set forth in the applicable Order Form, Proposal, or Statement of Work. Unless otherwise stated:
• Subscription and platform fees are billed in advance on a monthly or annual basis.
• Usage-based fees (including transaction-based or credit-based pricing) are billed in accordance with the applicable pricing structure.
• All fees are non-cancelable and non-refundable, except as expressly required by applicable law or agreed in writing.
• You are responsible for all applicable taxes, duties, and governmental assessments, excluding taxes based on MindCloud’s net income.
9. Disclaimer
The Services are provided “as is” and “as available.” EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, THE SERVICES, PLATFORM, AND DELIVERABLES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. MINDCLOUD DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. MINDCLOUD DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, OR THAT ANY ERRORS WILL BE CORRECTED. MINDCLOUD DOES NOT GUARANTEE THAT THE SERVICES WILL BE COMPATIBLE WITH ALL SYSTEMS AND APPLICATIONS.
The Services are designed to facilitate integrations, automation, and data workflows across systems. However, MindCloud does not guarantee any specific business results, financial outcomes, performance improvements, operational efficiencies, or other business benefits arising from the use of the Services. You acknowledge that results may vary depending on configuration, third-party systems, data quality, and operational processes.
MindCloud implements commercially reasonable administrative, technical, and organizational safeguards designed to protect User Data against unauthorized access, disclosure, or misuse. While MindCloud strives to protect the integrity and security of its platform, no system can guarantee absolute security.
10. Indemnification
You expressly agree to defend, indemnify, and hold harmless MindCloud and its affiliates, officers, employees, agents, and contractors from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
a. Your User Data, including any claim that such User Data infringes, misappropriates, or violates the rights of any third party or applicable law;
b. Your misuse of the Services;
c. Your violation of applicable law; or
d. Your breach of this Agreement.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EXCEPT FOR (I) A PARTY’S WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, (II) A PARTY’S BREACH OF ITS CONFIDENTIALITY OBLIGATIONS, (III) YOUR PAYMENT OBLIGATIONS, OR (IV) YOUR INDEMNIFICATION OBLIGATIONS, IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES OR THIS AGREEMENT, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
EXCEPT FOR THE FOREGOING CARVEOUTS, AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MINDCLOUD’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES OR THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID OR PAYABLE BY YOU TO MINDCLOUD FOR THE SERVICES DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THE FOREGOING LIMITATIONS SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.
12. Suspension/Termination of Services
Without limiting anything set forth above, MindCloud may suspend, or restrict or terminate access to the Services upon written notice if:
a. You fail to pay undisputed fees when due;
b. Your use of the Services poses a security risk to the platform or other users;
c. You violate applicable laws or regulations; or
d. Your use of the Services threatens the security, integrity, or availability of the MindCloud platform.
e. Required by law to do so.
13. Governing Law/Venue
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any disputes arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in Wilmington, Delaware, and the parties hereby consent to the personal jurisdiction and venue of such courts.
14. Confidentiality
Each party agrees to maintain the confidentiality of all non-public, proprietary, or confidential information disclosed by the other party (“Confidential Information”) and to use such information solely for purposes of performing under this Agreement. Each party shall protect such Confidential Information using reasonable care and shall not disclose it to any third party except as required by law or permitted under this Agreement.
